TERMS OF SERVICE

These Terms of Service ("Terms") govern your use of the website located at servealliance.com (the "Website"), the Serve Alliance membership application, participation in the Serve Alliance member network (the "Program"), and any SMS text messaging services operated by Serve Alliance LLC ("Serve Alliance," "we," "us," or "our").
PLEASE READ THESE TERMS CAREFULLY. By using our Website, submitting a membership application, opting in to our SMS messaging program, or participating in the Program, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Website or services.
1. ABOUT SERVE ALLIANCE
Serve Alliance operates a member network of home service, real estate, and related professional businesses that agree to refer business to one another within defined service categories and defined local markets. Only one member per category is admitted per local market.
Membership in Serve Alliance is by application, approval, and ongoing good standing.
Serve Alliance is not a licensing body, a franchise, an employer, or a joint venture with any member. Each member remains an independent business responsible for its own operations, obligations, licensing, insurance, taxes, and customer relationships.
2. ELIGIBILITY
To use our Website, submit an application, or participate in the Program, you must:
- Be at least 18 years old;
- Be legally authorized to operate a business in the United States;
- Provide accurate and truthful information;
- Have the authority to bind the business on whose behalf you are applying;
- If opting in to SMS, be the account holder of the mobile phone number you provide, or have express permission from the account holder.
We reserve the right to refuse service, decline applications, or terminate memberships at our sole discretion.
3. MEMBERSHIP APPLICATION
Submitting a membership application does not guarantee acceptance into the Program. Serve Alliance evaluates each application based on factors including category availability in the applicant's market, business standing, alignment with Program values, and completeness of the application.
By submitting an application, you represent and warrant that:
- All information you provide is accurate, complete, and current;
- You will update your information promptly if any of it changes;
- You have the legal authority to enter into these Terms on behalf of your business;
- You are not currently the subject of any government sanction, active fraud investigation, or licensing revocation that would materially affect your ability to operate your business.
Serve Alliance may verify any information you provide, including by consulting public records or third-party verification services.
4. SMS MESSAGING TERMS
If you opt in to receive SMS text messages from Serve Alliance, the following terms apply. These SMS-specific terms are also referenced and summarized in our Privacy Policy.
4.1 Opt-in
You must expressly opt in to receive SMS messages from Serve Alliance by checking the SMS consent box on our application form and submitting the form. The consent box is not pre-checked. By opting in, you agree to receive SMS text messages from Serve Alliance at the mobile phone number you provide.
ONE-TO-ONE CONSENT: Your consent to receive SMS messages applies solely to Serve Alliance. We do not sell, share, transfer, or otherwise disclose your mobile phone number, your SMS consent, or your SMS content to any third parties, affiliates, or partners for their own marketing purposes. Your consent is not a condition of any purchase or of the evaluation of your membership application.
4.2 Program description
If you opt in, you may receive SMS messages from Serve Alliance including:
- Confirmation that we received your membership application;
- Updates about the status of your application;
- Onboarding information if your application is approved;
- Operational messages about your Serve Alliance membership;
- Notifications related to referrals within the network (if you become an approved member);
- Occasional messages about member services and important operational updates.
4.3 Message frequency
Message frequency varies based on your engagement with Serve Alliance. You may receive more messages during your application and onboarding period, and fewer messages once you are an established member.
4.4 Message and data rates
Message and data rates may apply based on your mobile carrier and mobile service plan. Serve Alliance does not charge you for the messages themselves. Contact your mobile carrier for information about the charges that may apply to text messages you receive.
4.5 How to opt out
You may withdraw your consent and stop receiving SMS messages from Serve Alliance at any time by replying STOP to any SMS message we send you. You will receive one final confirmation SMS confirming that you have been unsubscribed, and you will not receive further SMS messages from Serve Alliance unless you opt in again.

4.6 How to get help
For assistance with the Serve Alliance SMS program, reply HELP to any Serve Alliance SMS message, or contact us at [email protected].
4.7 Supported carriers
The Serve Alliance SMS program is available on major U.S. mobile carriers, including but not limited to AT&T, T-Mobile, Verizon Wireless, Sprint, Boost Mobile, U.S. Cellular, MetroPCS, Cricket, and their affiliates.
4.8 Carrier disclaimer
Carriers are not liable for delayed or undelivered messages.
4.9 Eligibility for SMS
To opt in to Serve Alliance SMS messages, you must be at least 18 years old and either be the account holder of the mobile phone number you provide or have express permission from the account holder.
5. REFERRALS WITHIN THE NETWORK
The core function of Serve Alliance is to facilitate business-to-business referrals between approved members. This section governs how referrals work.
5.1 Referring member obligations
When you submit a customer referral through Serve Alliance as an approved member, you represent and warrant that:
- The customer has expressly requested a referral or has otherwise consented to being contacted by another business regarding the requested service;
- The customer information you provide is accurate and current;
- You have informed the customer that their information will be shared with one member of the Serve Alliance network for the purpose of contacting them about the requested service;
- You are not submitting information about customers who have not requested a referral or have not consented to being contacted.
Submitting fraudulent, unauthorized, or non-consenting customer information is grounds for immediate termination of your membership.
5.2 Receiving member obligations
When you receive a customer referral through Serve Alliance as an approved member, you agree to:
- Contact the referred customer in a timely and professional manner;
- Handle the customer's personal information responsibly and in compliance with all applicable privacy and consumer protection laws;
- Use the referral only for the purpose of serving the customer's stated request;
- Not add the referred customer to any marketing list, SMS program, email newsletter, or other ongoing communication program without the customer's separate, explicit consent;
- Not share the referred customer's information with any third party.
5.3 No guarantee
Serve Alliance makes no guarantee regarding the quality, frequency, or business value of referrals. Referral volume depends on factors outside our control, including individual member activity, market conditions, and category demand.
6. ACCEPTABLE USE
You agree not to:
- Use our Website, the Program, or the SMS program for any unlawful purpose or in violation of these Terms;
- Submit false, misleading, incomplete, or unauthorized information (whether about your business or a referred customer);
- Attempt to gain unauthorized access to Serve Alliance systems, member accounts, or protected areas of our Website;
- Interfere with or disrupt the operation of our Website, the Program, or the SMS program;
- Use automated tools (bots, scrapers, crawlers) to access or extract information from our Website, except for standard search engine indexing;
- Reverse engineer, decompile, or disassemble any part of the Serve Alliance platform;
- Impersonate any other person or business;
- Send unsolicited messages of any kind to customers referred through the network;
- Use the Serve Alliance name, logo, or marks in a manner that suggests affiliation, endorsement, or partnership beyond your approved member status;
- Solicit other members to leave the Serve Alliance network or to conduct competing referral activities outside the Program;
- Engage in any conduct that damages the reputation of Serve Alliance or its members.
Violation of this Section 6 is grounds for immediate suspension or termination of your membership.
7. INTELLECTUAL PROPERTY
The Serve Alliance name, logo, Website content, member materials, and platform (including all software, designs, text, graphics, and other content) are the property of Serve Alliance LLC and are protected by U.S. and international intellectual property laws.
You may not copy, reproduce, distribute, modify, publicly display, or create derivative works from any Serve Alliance content without our prior written permission.
Approved members are granted a limited, revocable, non-exclusive, non-transferable license to use Serve Alliance name and marks solely to identify themselves as approved Serve Alliance members. This license terminates automatically upon termination of your membership.
8. USER-SUBMITTED CONTENT
If you submit content to Serve Alliance (including through the application form, referral submissions, or any other channel), you grant Serve Alliance a non-exclusive, worldwide, royalty-free license to use, store, process, display, and transmit that content solely for the purpose of operating and improving the Program.
You represent and warrant that you have all necessary rights to submit the content and that the content does not violate any third-party rights or applicable law.
9. THIRD-PARTY SERVICES
Serve Alliance uses third-party service providers (including our CRM platform, hosting provider, and communications platform) to operate the Program. Your use of the Program may be subject to those providers' terms and privacy policies with respect to information they process on our behalf. We are not responsible for the acts or omissions of third-party service providers except to the extent expressly required by law.
10. DISCLAIMER OF WARRANTIES
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVE ALLIANCE WEBSITE, THE PROGRAM, AND THE SMS MESSAGING PROGRAM ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. SERVE ALLIANCE SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT: (A) THE WEBSITE OR PROGRAM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM PARTICIPATION IN THE PROGRAM WILL MEET YOUR EXPECTATIONS OR PRODUCE ANY SPECIFIC LEVEL OF REFERRALS, REVENUE, OR BUSINESS OUTCOMES; (C) ANY REFERRAL SUBMITTED OR RECEIVED THROUGH THE PROGRAM WILL RESULT IN A CLOSED SALE OR PAYING CUSTOMER; OR (D) DEFECTS IN THE WEBSITE OR PROGRAM WILL BE CORRECTED.
11. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SERVE ALLIANCE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE WEBSITE, THE PROGRAM, OR THE SMS MESSAGING PROGRAM, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST BUSINESS OPPORTUNITIES, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL SERVE ALLIANCE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PROGRAM EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO SERVE ALLIANCE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.
12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Serve Alliance LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Website, the Program, or the SMS messaging program;
- Your violation of these Terms;
- Your violation of any applicable law or regulation;
- Your violation of the rights of any third party (including any customer you refer through the Program or receive as a referral);
- Any content or information you submit to Serve Alliance;
- Any dispute between you and another Serve Alliance member arising out of Program participation.
This indemnification obligation survives termination of these Terms.
13. TERMINATION
Serve Alliance may suspend or terminate your access to the Website, your membership in the Program, and/or your enrollment in the SMS messaging program at any time, with or without cause, and with or without notice.
You may terminate your membership or opt out of SMS messages at any time by following the procedures described in these Terms or by contacting us at [email protected].
Upon termination of your membership:
- Your right to use the Serve Alliance name and marks ends immediately;
- You will not receive further referrals through the network;
- We will retain your information as described in our Privacy Policy;
- Sections of these Terms that by their nature should survive termination will survive, including the intellectual property, disclaimer, limitation of liability, indemnification, and dispute resolution provisions.
14. GOVERNING LAW AND JURISDICTION
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or the Program shall be resolved exclusively in the state or federal courts located in Brevard County, Florida. You and Serve Alliance consent to the personal jurisdiction of those courts and waive any objection to venue in those courts.
15. CHANGES TO THESE TERMS
We may modify these Terms from time to time. When we do, we will update the "Effective Date" at the top of these Terms. If we make material changes, we will notify you by email or SMS (if you have opted in to SMS) or by posting a prominent notice on the Website prior to the changes taking effect.
Your continued use of the Website, the Program, or the SMS messaging program after modified Terms take effect constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Website and the Program and follow the SMS opt-out procedures.
16. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Serve Alliance regarding your use of the Website, the Program, and the SMS messaging program, and supersede any prior agreements or communications on the same subject.
17. SEVERABILITY
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms continue in full force and effect.
18. NO WAIVER
The failure of Serve Alliance to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Serve Alliance.
19. ASSIGNMENT
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempted assignment without such consent will be void. Serve Alliance may assign these Terms without restriction.
